Third-Party Fundraising Agreement

Between: Act Now Button LLC ("Act Now"), 150 Elgin Street, Floor 8, Ottawa, ON K2P 1L4, Canada
And: _____________________________("the Charity")
1. Purpose
This Agreement establishes the terms under which Act Now provides campaign infrastructure services to the Charity for the purpose of facilitating verified supporter actions including donations, petition signatures, event registrations, and pledges.
2. Charity Direction and Control
The Charity retains full direction and control over all fundraising activities conducted through the Act Now platform, including:
- Campaign content: The Charity approves all campaign titles, descriptions, targets, and action types before publication.
- Creator participation: The Charity has sole authority to approve or remove creators from its campaigns. Default is auto-approve; the Charity may require manual approval at any time.
- Donation handling:All supporter donations flow directly to the Charity's Stripe account. Act Now does not hold, pool, redirect, or have access to donated funds at any point.
- Tax receipting:The Charity is solely responsible for issuing tax receipts to supporters in compliance with CRA requirements. Act Now collects donor name and mailing address (when supporters request a receipt) via Stripe Checkout and passes this information directly to the Charity's Stripe account and a downloadable CSV export from the charity dashboard. Act Now does not generate, sign, send, or store official donation receipts.
- Campaign termination: The Charity may end any campaign at any time.
3. Act Now's Role
Act Now provides:
- Campaign infrastructure (hosting, page creation, action forms)
- Attribution tracking (creator links, verified action logging)
- Verification services (Stripe webhook confirmation, email double-confirmation, manual event verification tools)
- Sponsor funding coordination (authorization, allocation, charge processing)
Act Now does NOT:
- Hold, pool, or redirect charitable donations
- Issue tax receipts
- Control campaign messaging or fundraising strategy
- Approve or reject charitable purposes
- Send unsolicited communications on the Charity's behalf
4. Sponsor Funding
Sponsors may attach funding to the Charity's campaigns. Sponsor funding is:
- A marketing expenditure paid by the sponsor for verified campaign performance
- Compensation to creators for driving verified supporter actions
- A separate financial transaction from supporter donations
- NOT a charitable donation and NOT directed to the Charity
The Charity acknowledges that sponsor involvement does not grant sponsors control over campaign messaging, creator approval (except in invite-only funding mode), or verification rules.
5. Creator Management
- The Charity approves which creators may participate in its campaigns.
- The Charity may remove any creator at any time. Pre-removal verified actions remain valid.
- The Charity may block specific creators from all its campaigns.
- If a sponsor submits a removal request with evidence, the Charity reviews and decides whether to act.
- Act Now may remove creators and void their compensation for platform terms violations (illegal activity, harmful content, hacking, fraud, failure to disclose).
6. Chargeback Responsibility
Supporter donation chargebacks are processed through the Charity's Stripe account. The Charity bears all financial responsibility for donation chargebacks.
Act Now has no financial exposure to donation chargebacks.
Sponsor charges are based on verified action occurrence and are legally separate from supporter donations.
7. Data and Privacy
- Act Now collects the minimum supporter data necessary for action verification and attribution.
- Supporter emails collected for verification are purged 30 days after verification unless the supporter has consented to share their email with the Charity.
- The Charity may configure an opt-in toggle to request supporter email addresses. Consent is collected by Act Now at the point of action using standardized language. The Charity is responsible for its own privacy compliance once it receives supporter data.

8. Platform Fee
Act Now charges a tiered marketing infrastructure fee on top of used sponsor funding. This fee is:
- Charged to the sponsor, not the Charity
- A service fee for attribution and verification services
- NOT a commission on charitable donations
9. Term and Termination
- This Agreement is effective from the date of acceptance and continues until terminated by either party.
- Either party may terminate with 30 days written notice.
- Upon termination: active campaigns are wound down, pending verifications are completed, and final sponsor charges are processed after the applicable buffer period.
- The Charity's Stripe account and all donation records remain the Charity's property.
10. Representations
The Charity represents that:
- It is a registered charity in good standing with CRA
- It has authority to enter this Agreement
- It will maintain accurate registration and Stripe account information
- It will comply with all applicable laws regarding fundraising, tax receipting, and donor communications
Act Now represents that:
- It will provide the services described in this Agreement
- It will not hold, pool, or redirect charitable donations
- It will maintain appropriate security and privacy practices
- It will process sponsor funding in accordance with its published terms
11. Governing Law
This Agreement is governed by the laws of Canada and the Province of Ontario.
12. Signatures
By accepting this agreement electronically, the authorized representative of the Charity confirms they have read, understood, and agree to all terms above on behalf of the Charity.
